Terms of Service

In short

  • OneSite gives you the tools to run an online store. You are the seller and deal directly with your customers.
  • You must be 18 or older, give accurate details, keep your password safe, and follow our Acceptable Use Policy.
  • Your products, photos and text stay yours. You let us host and show them so your store works.
  • We can suspend stores that break the law or these terms. You can close your account at any time.
  • Indian law applies. Complaints go to our Grievance Officer first.

1. About these terms

OneSite (the “Platform”) is a website builder and store-management service operated by Darpan Vadher, a sole proprietor carrying on business as ADWeb Solutions (“ADWeb Solutions”, “we”, “us”), whose address is [registered business address].

These Terms of Service (“Terms”) are a legally binding agreement between you and us. They apply when you visit onesite.adwebsolutions.in, create an account, or use the admin panel, your storefront, or any related service (together, the “Services”). If you sell through OneSite, the Store Owner Agreement, Acceptable Use Policy and Subscription & Refund Policy also apply and form part of these Terms. The Privacy Policy and Cookie Policy explain how we handle personal data.

By ticking the box when you sign up, clicking “Accept”, or using the Services, you agree to these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind it, and “you” means that business too. If you do not agree, please do not use the Services.

This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. It does not need a physical or digital signature.

2. Key words

  • Store Owner: a person or business that creates an account to sell through a Storefront.
  • Storefront: the website we build and host for a Store Owner, at a OneSite subdomain (such as yourstore.adwebsolutions.in) or at the Store Owner's own domain.
  • Customer: anyone who browses or orders from a Storefront.
  • Store Content: everything a Store Owner puts into the Services, including product names, descriptions, prices, photos, logos, texts, reviews, policies and payment QR codes.

3. What OneSite is — and is not

We provide software: we build and host your Storefront, record orders your Customers place, keep track of stock, and send order notifications. We are an intermediary under the Information Technology Act, 2000.

We are not the seller of any product on a Storefront, and we are not a marketplace, a payment aggregator, a bank, or a delivery company. Each sale is a contract between the Store Owner and the Customer alone. We do not collect, hold or transfer money for sales. Customers pay Store Owners directly, for example by UPI or cash on delivery. Store Owners are fully responsible for their products, prices, delivery, refunds, taxes and customer service.

4. Who can use OneSite

  • You must be at least 18 years old and able to enter into a contract under the Indian Contract Act, 1872.
  • You must use the Services for a genuine, lawful business. Our Services are built for sellers in India, and Storefronts may only sell to addresses in India.
  • You must not use the Services if we have previously suspended or closed your account, unless we agree in writing.

5. Your account

  • Give us true, complete and up-to-date information, and keep it that way. This includes your business name, email and phone number.
  • Keep your password secret and use a strong one. You are responsible for everything done through your account. Tell us straight away at [support email, e.g. support@adwebsolutions.in] if you think someone else has accessed it.
  • Your store address (subdomain) must not copy or impersonate another person's name, brand or trade mark. Some names are reserved and cannot be used.
  • You may not sell, transfer or share your account without our written permission.

6. Plans and fees

Some features are free and some need a paid plan. Plan features, limits and prices are shown on our pricing page. Fees, billing, cancellation and refunds are covered by the Subscription & Refund Policy. We will give you at least 30 days' notice by email or in the admin panel before we raise the price of a paid plan you are on.

7. Your content

You own your Store Content. You give us a non-exclusive, royalty-free, worldwide licence to host, store, copy, resize, format, publish and display your Store Content, but only as needed to run, show and improve the Services. For example, we may create smaller versions of your photos, or show your Storefront to you and your Customers. The licence ends when your content is deleted from the Services, apart from copies in backups for a limited time (see section 13) and anything we must keep by law.

You promise that:

  • you own your Store Content, or have every right and permission needed to use it this way, including permission from anyone shown in a photo;
  • your Store Content is accurate, not misleading, and follows all laws, including the Consumer Protection Act, 2019 and the Acceptable Use Policy; and
  • reviews or testimonials you publish are genuine, come from real customers, and are used with their permission.

We do not check Store Content before it is published and we are not responsible for it. We may, but do not have to, review it.

8. Our property

The OneSite software, themes, templates, designs, the names “OneSite” and “ADWeb Solutions”, our logos and our documentation belong to us or our licensors. These Terms do not give you any ownership of them. While you use the Services, we give you a limited, non-exclusive, non-transferable right to use them for running your Storefront. You may not copy, resell, reverse-engineer or build a competing service from the Services.

Standard policy templates we provide for your Storefront are for you to use and edit for your own store. They are general templates, not legal advice.

If you send us feedback or ideas, we may use them without any obligation to you.

9. Store addresses and domains

Your OneSite subdomain is provided for as long as your account is active. It belongs to us and is not transferable. If your account is closed, the subdomain may later be given to someone else. If you connect your own domain, you remain responsible for registering, renewing and configuring it. We only serve your Storefront on it while it points to us.

10. Complaints about content, and takedowns

As an intermediary, we follow the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. If we receive a court order or a lawful notice from the Government, or a valid complaint about unlawful Store Content, we may remove or disable it within the time the law requires, and may keep records of it as the law requires. Anyone can report content using the details on our Grievance & Contact page. We may tell the Store Owner concerned and give them a chance to respond, unless the law or the seriousness of the matter prevents it.

11. Availability and changes to the Services

We work hard to keep the Services running, but we do not promise they will always be available, error-free or secure. They may be interrupted for maintenance, upgrades, or events outside our control. We may add, change or remove features. If we remove a major paid feature you rely on, we will tell you in advance where we reasonably can. Features marked “coming soon”, “beta” or similar may be incomplete and may change or be withdrawn.

You should keep your own copies of your product photos and important information.

12. Suspension and termination

You can stop using the Services and ask us to close your account at any time by writing to [support email, e.g. support@adwebsolutions.in].

We may suspend or restrict your account or Storefront, or remove Store Content, if we reasonably believe that:

  • you have broken these Terms or any policy that forms part of them;
  • your Storefront is being used for fraud, for selling prohibited items, or in a way that harms Customers, other users or us;
  • we must do so by law, or because of a court or Government order; or
  • fees for a paid plan remain unpaid after the grace period described in the Subscription & Refund Policy.

Where it is reasonable and lawful, we will tell you why and give you a chance to fix the problem first. For serious breaches, such as fraud or illegal items, we may act immediately. We may close your account permanently for serious or repeated breaches, or with 30 days' notice for any other reason. In that case we will refund any fees you paid for the time after closure.

13. What happens when an account is closed

  • Your Storefront stops being available.
  • For 30 days after closure you can ask us for a copy of your product list and order records, unless we closed the account because of fraud or a legal order.
  • After that we delete your account data, Store Content and order records, except what the law requires us to keep. Copies in backups are deleted within a further 90 days.
  • Sections that by their nature should continue, such as 7 (for backups), 14 to 18 and 20, continue after closure.

14. Disclaimers

The Services are provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties that are not expressly stated in these Terms, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any level of sales, traffic or search ranking. We are not responsible for Store Owners' products, their conduct, or their dealings with Customers, or for third-party services such as UPI apps, domain registrars or email providers.

15. Limitation of liability

To the extent the law allows:

  • we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, business, goodwill or data, even if it was foreseeable; and
  • our total liability to you for all claims arising out of or relating to the Services or these Terms, however caused, will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, and (b) ₹1,000.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.

16. Indemnity

You agree to indemnify and hold harmless ADWeb Solutions and its proprietor, staff and service providers from any claims, penalties, losses and reasonable costs (including legal fees) arising from your Store Content, your products and sales, your dealings with Customers, your use of Customers' personal data, or your breach of these Terms or the law.

17. Changes to these Terms

We may update these Terms from time to time. For material changes, we will tell you at least 15 days in advance by email or in the admin panel, unless a change is needed sooner for legal or security reasons. We may ask you to accept the updated Terms before you can keep using your account. If you do not agree to the change, you can close your account before it takes effect. The date at the top shows when these Terms last changed.

18. Governing law and disputes

These Terms are governed by the laws of India. If a dispute comes up, please contact our Grievance Officer first, and we will try in good faith to resolve it. If it is not resolved within 30 days, the courts at [your city], India will have exclusive jurisdiction, subject to any rights you have as a consumer under Indian law.

20. General

  • Entire agreement. These Terms, and the policies they refer to, are the whole agreement between you and us about the Services.
  • Severability. If any part is found unenforceable, the rest stays in effect.
  • No waiver. If we do not enforce a right straight away, we have not given it up.
  • Assignment. We may transfer our rights and obligations to a business that takes over OneSite, and will tell you if we do. You may not transfer yours without our consent.
  • Force majeure. Neither of us is liable for delays or failures caused by events beyond reasonable control, such as natural disasters, outages at our infrastructure providers, internet failures, strikes or Government action.
  • Notices. We will send notices to the login email on your account or show them in the admin panel. You can send notices to [support email, e.g. support@adwebsolutions.in].
